1. Acknowledgement & acceptance of Terms of Use

These Terms of Use currently apply but may be amended or edited from time to time. Please read these Terms of Use carefully before you use this website. By using this website, you expressly agree to be bound by these terms as they now are or as amended or edited from time to time and acknowledge that you have read, understood and accepted them. However, if after having read these Terms of Use and you do not agree with them you must discontinue your use of this website.

2. Governing Law

All matters and issues relating to the use or interpretation of these Terms of Use shall be governed by the laws of Malaysia.

3. Intended Use

This website is a business and commercial site, and therefore is not intended for persons under the age of 18. If you are under 18, you should speak to your parents, your guardian, or a responsible adult and obtain their permission to use this website.

4. Registration

You must be registered on the website to access or use this website to make any order or purchase. Any registration of a user is subject to Zitron Fulfilment Sdn Bhd's (“Zitron Fulfilment”) prior approval. One user may only register one member account on the website. Zitron Fulfilment may cancel or terminate your account if Zitron Fulfilment has reasons to suspect that you have concurrently registered or control two or more accounts. Further, Zitron Fulfilment may reject User’s application for registration for any reason and without having to assign any reasons whatsoever.

You agree to provide Zitron Fulfilment with current, complete, and accurate information as prompted by the registration process and agree to regularly update this information to maintain its completeness and accuracy. You agree not to (a) obtain or attempt to obtain unauthorized access or (b) gain access through or use, any means not made available to you by Zitron Fulfilment.

Upon approval by Zitron Fulfilment of your registration as a user to the website, Zitron Fulfilment shall assign an account and issue a member identification (“Member ID) and password (the latter shall be chosen by you as a registered user during registration) to each registered user. An account may have a web-based email account with limited storage space for you to send or receive emails.

A set of Member ID and password is unique to a single account. You shall be solely responsible for maintaining the confidentiality and security of your Member ID and password and for all activities that occur under your account. You shall not share, assign, or permit the use of your account, Member ID or password by another person outside of your own business entity. You agree to notify Zitron Fulfilment immediately if you become aware of any unauthorized use of your password or your account or any other breach of security of your account.

You agree that all activities that occur under your account (including without limitation, clicking to accept any variation/modification/additional terms and conditions or rules, subscribing to or making any payment for any services, sending emails using the email account or sending SMS) will be deemed to have been authorized by you. Zitron Fulfilment may at its sole and absolute discretion limit, deny or create different level of your access to and use of your account and/or any services (or any features within the services) offered by Zitron Fulfilment.

You acknowledge that sharing of your account with other persons, or allowing multiple users outside of your business entity to use your account (collectively, "multiple use"), may cause irreparable harm to Zitron Fulfilment or other users of the website. You shall indemnify Zitron Fulfilment, its affiliates, directors, employees, agents and representatives against any loss or damages (including but not limited to loss of profits) suffered as a result of the multiple use of your account. You also agree that in the event of multiple use of your account or your failure to maintain the security of your account, Zitron Fulfilment shall not be liable for any loss or damages arising from such a breach and shall have the right to suspend or terminate your account without liability to you.

5. Orders and Specifications

Your order will be deemed accepted and completed by you upon our issuance of a confirmation of service(s) purchased by you or dispatch of the goods purchased to you. For the avoidance of doubt, Zitron Fulfilment shall be entitled to refuse or cancel any order without giving any reasons for the same to you prior to issue of the confirmation of dispatch. Zitron Fulfilment shall furthermore be entitled to require that you furnish to Zitron Fulfilment with contact and other verification information, including but not limited to address, contact numbers prior to issuing a confirmation of dispatch.

No confirmed order by you may be modified or cancelled by you except with the agreement in writing of Zitron Fulfilment and on terms that you shall indemnify Zitron Fulfilment in full against all loss (including loss of profit) costs (including the cost of all labour and materials used) damages charges and expenses incurred by Zitron Fulfilment as a result of the modification or cancellation, as the case may be.

Zitron Fulfilment reserves the right to cancel any accepted order prior to delivery at Zitron Fulfilment's discretion in the event of any pricing error or any material error in connection with your order or other conditions relevant for your order, or if any further verification of your credit conditions or records so warrants. For the avoidance of doubt, Zitron Fulfilment will not be responsible and/or liable to you for any pricing error or any material error as described above. If you have already made payment and your order is cancelled, Zitron Fulfilment will issue an appropriate refund or credit to your account, as may be applicable. In the event such pricing error or any material error as described above is discovered after delivery of the goods, you shall and hereby undertake and agree to compensate and reimburse Zitron Fulfilment for all or any such loss, damage, costs and/or expenses suffered, incurred and/or to be suffered or incurred by Zitron Fulfilment whether directly or indirectly as a result of such pricing error or any material error in your order.

6. Price

The price of the goods and/or services shall be the price stated and/or shown in Zitron Fulfilment’s website at the time which you make your offer to purchase to Zitron Fulfilment. The price excludes and shall be subject to the cost of packaging and delivery charges, any applicable goods and services tax, goods and services tax or similar tax or duties which you shall be liable to pay to Zitron Fulfilment in addition to the price.

Zitron Fulfilment reserves the right to correct the price at any time prior to delivery where there has been a typographical, mistake or other error in the price and/or order. Zitron Fulfilment will notify you of the corrected price and/or. You may choose to pay the corrected price, however if you do not choose to pay the corrected price, then Zitron Fulfilment will have the right to cancel your order without further obligation and/or compensation to you (other than to issue an appropriate refund or credit to your account, as may be applicable, if you have already paid).

All promotional items and applicable promotional gifts are available while stock lasts.

Refund of payment is only applicable when product purchased are damaged on arrival. The claims must be made with proof within forty eight (48) hours of receipt by Zitron Fulfilment of your official written request informing us of such damage in the form as may be prescribed by Zitron Fulfilment from time to time failing which no refunds or cancellation of order will be entertained once such order is processed by Zitron Fulfilment.

7. Terms of Payment

You shall be entitled to make payment for the goods and/or service(s) ordered or purchased pursuant to the various payment methods set out in Zitron Fulfilment’s website. The terms and conditions applicable to each type of payment, will be contained in Zitron Fulfilment's website.

In addition to any additional terms contained in Zitron Fulfilment’s website, the following terms shall also apply to the following types of payment:

(a) Credit/Debit Card

By selecting this mode of payment, you shall be charged on a full payment basis (including any applicable taxes, duties, fees, expenses and/or shipping costs and charges). Zitron Fulfilment will verify the validity of the credit card with the relevant issuer and may then send the notice of acceptance if the credit card is accepted and validated. In the event that no validation is received from the relevant issuer within three (3) working days of the verification request by Zitron Fulfilment, your order shall be deemed cancelled. You will be charged when the notice of acceptance is sent to you. If your order is cancelled after payment has been validated by the credit card issuer but before a notice of acceptance by Zitron Fulfilment has been sent to you, you shall be liable for all fees, charges, expenses and costs (including but not limited to processing fees, expenses and charges) arising and/or which may arise out of or in connection with the cancellation or reversal of the payment transaction.

(b) Online Banking

By choosing this payment method, you shall transfer the payment for the said goods to Zitron Fulfilment’s account for the total amount of your purchase (including any applicable taxes, fees and shipping costs). The transaction must be payable in Ringgit Malaysia. Zitron Fulfilment, in its sole discretion, may refuse this payment option service to anyone or any user without notice for any reason at any time. The list of banks available for online bank transfer is as listed on this website, and such list may be amended from time to time.

(c) Cheque/Bank Draft

By choosing this payment method, you shall deposit the cheque or bank draft for the total amount of your purchase (including any applicable taxes, fees and shipping costs) and you shall furnish to Zitron Fulfilment a copy of the valid deposit slip or confirmation. The payment transaction must be payable in Ringgit Malaysia. Zitron Fulfilment, in its sole discretion, may refuse this payment option service to anyone or any user without notice for any reason at any time. Payment shall be to Zitron Fulfilment and shall only be deem as fully paid once Zitron Fulfilment has received confirmation from its bank that it has received the total amount of your purchase in cleared funds.

8. Delivery/Performance

Delivery of the goods purchased by you shall be made to the address specified by you in your order. Zitron Fulfilment has the right at any time to sub-contract all or any of its obligations for the sale/delivery of the said goods to any other party as it may from time to time decide without giving notice of the same to you. Delivery of any such goods purchased by you shall only be made to a Malaysian address.

Any dates quoted for delivery of the said goods are approximate only. The time for delivery/performance shall not be of the essence, and Zitron Fulfilment shall not be liable for any delay in delivery or performance howsoever caused.

The delivery process will only be initiated after payment has been validated and a notice of acceptance has been sent to you. Zitron Fulfilment shall endeavour to arrange to deliver the goods to the delivery point in Malaysia designated by you in your purchase order. Zitron Fulfilment will use its discretion in selecting a reputable carrier and appropriate means of shipment, and shall endeavour to notify you of the estimated date of delivery as soon as is reasonably possible. Unless you specifically nominate a named individual or individuals to take delivery of the goods during the ordering process, delivery to any individual or individuals present at the delivery point in Malaysia designated by you in your purchase order shall be deemed good and sufficient delivery of the goods to you. Where you have specifically nominated a named individual or individuals to take delivery of the goods, Zitron Fulfilment shall be entitled but not bound to request sight of the identity card or other identification document of the relevant individual or individuals before making delivery of the goods to such individual or individuals, and shall be entitled to accept any document purporting to identify an individual or individuals as the individual or individuals nominated by you, at its face value.

Zitron Fulfilment may deliver the goods by instalments in any sequence. Where the goods are so delivered by instalments, each instalment shall be deemed to be the subject of a separate agreement on these terms and conditions and no default or failure by Zitron Fulfilment in respect of any one or more instalments shall vitiate the agreement in respect of the goods previously delivered or undelivered goods. In the event that Zitron Fulfilment gives notice to you that it is unable to deliver any instalment of the goods, you shall be deemed to have accepted those instalments already delivered but Zitron Fulfilment may reimburse the price of the undelivered goods that have been paid for by you without any compensate to you for any loss, damage, costs and/or expenses suffered and/or to be suffered by you as a result of such non-delivery.

If you fail to take delivery of the said goods (otherwise than by reason due to Zitron Fulfilment's fault) then without prejudice to any other right or remedy available to Zitron Fulfilment, Zitron Fulfilment may:

sell the said goods at the best price readily obtainable and (after deducting all reasonable storage and selling expenses) account to you for the excess (if any) over the price paid by you to Zitron Fulfilment provided the price has been paid to and received by Zitron Fulfilment in cleared funds in full or charge to you any shortfall below the price paid by you to Zitron Fulfilment; or
terminate your order and claim damages from you; or
attempt to deliver or to redeliver to you the said goods at your costs and expense.

9. Risk and Property of the Goods

Risk of damage to or loss of the goods purchased or order by you shall pass to you at the time of delivery or if you wrongfully failed to take delivery of the said goods, the time when Zitron Fulfilment has tendered delivery or attempted to tender delivery of the said goods.

Notwithstanding delivery and the passing of risk in the said goods or any other provision herein, the property in the said goods shall not pass to you until Zitron Fulfilment has received in cash or cleared funds payment in full of the price of the said goods and all other goods agreed to be sold by Zitron Fulfilment to you for which payment is then due.

Until such time as the property in the said goods passes to you, you shall hold the said goods as Zitron Fulfilment's fiduciary agent and bailee and shall keep the said goods separate from your other goods.

You agree with Zitron Fulfilment that you shall immediately notify Zitron Fulfilment of any matter from time to time affecting Zitron Fulfilment’s title to the said goods and you shall provide Zitron Fulfilment with any information relating to the said goods as Zitron Fulfilment may require from time to time.

Until such time as the property in the said goods passes to you (and provided the said goods are still in existence and have not been resold) Zitron Fulfilment shall be entitled at any time to demand you to deliver up the said goods to Zitron Fulfilment and in the event of non-compliance Zitron Fulfilment reserves it’s right to take legal action against you for the delivery up the said goods and also reserves its right to seek damages and all other costs including but not limited to legal fees against you.

You shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the said goods which remain the property of Zitron Fulfilment but if you do so all moneys owing by you to Zitron Fulfilment shall (without prejudice to any other right or remedy of Zitron Fulfilment) forthwith become due and payable.

If the provisions under this Paragraph 9 are not effective according to the law of the country in which the said goods are located, the legal concept closest in nature to retention of title in that country shall be deemed to apply mutatis mutandis to give effect to the underlying intent expressed in this condition, and you shall take all steps necessary to give effect to the same.

You shall indemnify Zitron Fulfilment against all loss damages costs expenses and legal fees incurred by you in connection with the assertion and enforcement of Zitron Fulfilment's rights under this condition.

10. Warranties and Remedies

Subject as expressly provided hereunder, all other warranties conditions or terms, including those implied by statute or common law, are excluded to the fullest extent permitted by law.

Subject to this Paragraph 10, Zitron Fulfilment warrants that the goods purchased or ordered by you will correspond with their specification at the time of delivery, and agrees to remedy any non-conformity therein for a period specific to that good purchased (the warranty period for each good is as set out in that product’s description or specification as listed in this website. The terms and conditions to any warranty claim of a product shall be in accordance with that stated and specified in the products’ user manual book accompany that product) from the date on which the said goods are delivered or deemed to be delivered ("Warranty Period").

Zitron Fulfilment’s above warranty concerning the said goods is given subject to the following conditions:

No condition is made or to be implied nor is any warranty given or to be implied as to the life or wear of the said goods supplied or that they will be suitable for any particular purpose or use under any specific conditions, notwithstanding that such purpose or conditions may be known or made known to Zitron Fulfilment.
Any description given of the said goods is given by way of identification only and the use of such description shall not constitute a sale by description.
Zitron Fulfilment binds itself only to deliver said goods in accordance with the general description under which they were sold, whether or not any special or particular description shall have been given or shall be implied by law. Any such special or particular description shall be taken only as the expression of Zitron Fulfilment's opinion in that behalf. Zitron Fulfilment does not give any warranty as to the quality state condition or fitness of the said goods.
Zitron Fulfilment shall be under no liability for the following measures and actions taken by you or third parties and the consequences thereof: improper remedy of defects, alteration of the said goods without the prior agreement of Zitron Fulfilment, addition and insertion of parts, in particular of spare parts which do not come from Zitron Fulfilment.
Zitron Fulfilment shall be under no liability in respect of any defect arising from unsuitable or improper use, defective installation or commissioning by the buyer or third parties, fair wear and tear, wilful damage, negligence, abnormal working conditions, defective or negligent handling, improper maintenance, excessive load, unsuitable operating materials and replacement materials, poor work, unsuitable foundation, chemical, electro-technical/electronic or electric influences, failure to follow the Zitron Fulfilment’ guidelines, the terms and conditions of the product’s user manual or instructions manual (whether oral or in writing) misuse or alteration or repair of the goods without Zitron Fulfilment's approval.
Zitron Fulfilment is not liable for any loss damage or liability of any kind suffered by any third party directly or indirectly caused by repairs or remedial work carried out without Zitron Fulfilment’s prior written approval and the Buyer shall indemnify Zitron Fulfilment against each loss liability and cost arising out of such claims.
Zitron Fulfilment shall be under no liability under the above warranty (or any other warranty condition or guarantee) if the total price for the said goods has not been paid in cleared funds by the due date for payment.
Zitron Fulfilment shall be under no liability whatsoever in respect of any defect in the said goods arising after the expiry of the Warranty Period.

Any claim by you which is based on any defect in the quality or condition of the said goods or their failure to correspond with specification shall be notified to Zitron Fulfilment within three (3) days from the date of receipt of the said goods or (where the defect or failure was not apparent on reasonable inspection) within a reasonable time after discovery of the defect or failure. During use, the said goods shall be monitored constantly with regard to safety and defects. If there are even slight reservations concerning the suitability for use or the slightest reservations concerning safety, the goods must not be used. Zitron Fulfilment shall be given written notification immediately, specifying the reservations or the defect. However in no event shall you be entitled to reject the said goods on the basis of any defect or failure, except where the failure is such that the said goods delivered are of a fundamentally different nature than those which Zitron Fulfilment had contracted to deliver.

If you do not give due notification to Zitron Fulfilment in accordance with the above paragraph, Zitron Fulfilment shall have no liability for any defect or failure or for any consequences resulting therefrom. Where any valid claim in respect of any of the said goods which is based on any defect in the quality or condition of the said goods or their failure to meet a specification is notified to Zitron Fulfilment in accordance with the above paragraph, the non-conforming said goods (or part thereof) will be repaired or replaced free of charge as originally ordered.

When Zitron Fulfilment has provided a replacement for the said goods or given you a refund, the non-conforming said goods or parts thereof shall become Zitron Fulfilment’s property.
